Decree 296/2026/ND-CP: Simplifying Business Registration Procedures, Promoting Digital Transformation

On July 23, 2026, the Government issued Decree No. 296/2026/ND-CP, amending and supplementing several articles of Decree 168/2025/ND-CP on business registration. The new regulations focus on improving management mechanisms, increasing transparency in capital contribution activities, and promoting administrative procedure reform and digital transformation in business registration. 

One notable point is the tightening of regulations on capital contributions for business establishment. Accordingly, owners, shareholders, and members of a company must make capital contributions in accordance with the provisions of the Enterprise Law, and are not allowed to contribute capital in their name. This regulation contributes to enhancing transparency, limiting "anonymous" ownership, and strengthening the legal responsibility of entities participating in business establishment.

In addition, the Decree adds many regulations to simplify administrative procedures. Business registration agencies will proactively access information from the National Business Registration Database and specialized databases to process applications, instead of requiring businesses to resubmit many types of documents already in the system. Only in cases where the data is incomplete or inaccurate will businesses need to supplement their applications as required. This is an important step in reducing paperwork, saving time and costs for businesses.

The Decree also promotes the digitalization of business registration processes by improving online registration procedures. Applicants can log in using their electronic identification accounts on the National Public Service Portal or the National Identification Application to complete the entire process of declaration, submission, electronic authentication, fee payment, and receiving results online. Simultaneously, business registration information will be automatically linked to the tax authorities, increasing consistency and shortening processing time. For state-owned enterprises, the Decree also adjusts some application components to streamline procedures, replacing some documents with materials issued by competent agencies and organizations in accordance with regulations on state capital management and investment. Overall, Decree 296/2026/ND-CP demonstrates the Government's determination to improve the business environment, enhance the efficiency of state management, and promote digital transformation. These changes not only facilitate business registration procedures but also contribute to building a transparent, modern investment environment that aligns with the development trends of the digital economy.
